1. Purpose and Scope
This Electronic Communications & E-Sign Consent (the "Consent") explains how Lulu Staffing LLC, doing business as LuluCare ("LuluCare," "we," "our," or "us"), may provide records, notices, agreements, disclosures, approvals, acknowledgments, invoices, payment information, tax documents, and other communications electronically.
This Consent applies to Healthcare Professionals, Facilities, Facility representatives, applicants, account administrators, and other Users of the LuluCare website, applications, communications tools, and marketplace services (collectively, the "Platform"). It supplements the LuluCare Marketplace Terms of Service, Healthcare Professional Agreement, Facility Services Agreement, Privacy Policy, and other applicable agreements and policies.
2. Consent to Electronic Records
By creating an Account, selecting an acceptance checkbox, tapping an acceptance button, signing electronically, submitting an electronic form, approving a Timecard, or otherwise indicating consent through the Platform, each User agrees to receive and use electronic records and communications where permitted by law.
Electronic records may replace paper records and may satisfy legal requirements that information be provided "in writing," signed, delivered, retained, or acknowledged.
3. Electronic Signatures
Users agree that electronic actions may constitute their legally binding electronic signature when they are reasonably associated with the User's Account, identity, device, credentials, or authorized representative status.
Electronic signatures may include:
- typing a name;
- drawing or uploading a signature;
- selecting a checkbox;
- tapping or clicking an acceptance, approval, submit, confirm, acknowledge, or similar button;
- entering a code or authentication credential;
- approving a Timecard, correction, pricing addendum, invoice, or other record;
- completing an in-app attestation;
- using another electronic process designated by LuluCare.
Users may not sign, approve, acknowledge, or submit records on behalf of another person unless properly authorized.
4. Agreements and Policies Covered
This Consent may apply to electronic execution, acceptance, delivery, and retention of documents including:
- Marketplace Terms of Service;
- Healthcare Professional Agreement;
- Facility Services Agreement;
- Facility Pricing Addenda and revisions;
- Privacy Policy;
- Community Standards & Acceptable Use Policy;
- Background Check & Credential Verification Policy;
- Timekeeping & Attendance Policy;
- payment, payout, billing, cancellation, and refund terms;
- credentialing acknowledgments and Facility-specific requirements;
- background-check disclosures and authorizations presented separately where required;
- tax forms and payment-provider documents;
- notices, amendments, renewals, and other legally permitted records.
5. Methods of Electronic Communication
LuluCare may communicate electronically through:
- email;
- SMS or text message;
- push notifications;
- in-app messaging;
- Platform dashboards, banners, alerts, and notices;
- electronic documents and links;
- automated or prerecorded communications where permitted and separately consented to when required.
6. Operational Communications
Users agree that LuluCare may send operational and transactional communications reasonably related to Platform use, including:
- Shift opportunities, confirmations, reminders, changes, and cancellations;
- attendance, lateness, No-Show, and timekeeping communications;
- credential expiration, renewal, verification, and eligibility notices;
- Facility onboarding, pricing, billing, and payment-method notices;
- payout, Instant Pay (where offered), payment failure, refund, chargeback, and tax notices;
- safety, incident, compliance, fraud, account-security, and investigation communications;
- policy updates and legally required notices;
- customer-support and dispute communications.
These operational communications are not promotional marketing merely because they are sent by text, email, push notification, or automated workflow.
7. Marketing Communications
LuluCare may send promotional or marketing communications only as permitted by law and, where required, after obtaining separate consent.
Users may opt out of marketing emails by using the unsubscribe mechanism provided. Users may opt out of marketing text messages using the instructions in the message, such as replying STOP, where supported.
Opting out of marketing does not prevent LuluCare from sending non-marketing operational, transactional, legal, safety, security, payment, or account communications.
8. SMS and Text Messaging
By providing a mobile number and consenting where required, a User authorizes LuluCare and its service providers to send text messages to that number for permitted purposes. LuluCare currently uses a third-party messaging provider (Twilio) to deliver SMS text messages on its behalf.
Message frequency may vary. Message and data rates may apply. Consent to receive marketing texts is not a condition of purchasing or using LuluCare services unless expressly stated otherwise and permitted by law.
Users must provide a number they control or are authorized to use and must promptly update or remove a number that is reassigned, disconnected, or no longer under their control.
LuluCare is not responsible for messages received by a person who later obtains a reassigned number when the User failed to update their information.
9. Push Notifications
Users may receive push notifications regarding Shifts, Timecards, credentials, payments, messages, account activity, safety, and other Platform matters.
Device settings may allow push notifications to be disabled. Disabling push notifications does not relieve a User of the duty to monitor the Platform, email, or other designated channels for important communications.
10. In-App Messages and Platform Notices
Notices delivered through an Account inbox, dashboard, banner, modal, alert, message center, or other Platform feature may constitute valid electronic delivery when permitted by law.
Users are responsible for reviewing their Account and keeping access credentials secure.
11. Timecards, Attestations, and Approvals
A Healthcare Professional's electronic Timecard submission, attestation, correction request, or approval may constitute a signed statement that the record is accurate to the best of that person's knowledge.
A Facility representative's electronic approval, rejection, correction, acknowledgment, or attestation may constitute the Facility's authorized electronic signature and may be relied upon for billing, payout, dispute, audit, and recordkeeping purposes. A completed Timecard is electronically signed by both the Healthcare Professional and an authorized Facility representative.
No User may approve a Timecard or other record without appropriate authority or personal knowledge.
12. Facility Agreements and Pricing Addenda
A Facility may electronically execute the Facility Services Agreement, Facility Pricing Addendum, amendments, renewals, and related documents through an authorized representative.
The Facility represents that each person who signs, accepts, approves, or submits such documents electronically has authority to bind the Facility.
13. Healthcare Professional Onboarding
Healthcare Professionals may electronically complete and sign onboarding documents, credentials, consents, acknowledgments, tax-related records, payment-provider forms, and other required records.
A Healthcare Professional remains responsible for reviewing each document and providing accurate information.
14. Delivery of Financial and Tax Records
LuluCare may electronically provide invoices, receipts, billing statements, payment confirmations, payout records, refund notices, and other financial records where permitted by law.
Tax information for Healthcare Professionals is collected, and any tax forms (including any Form 1099) are issued, directly by the payment processor (Stripe). LuluCare does not prepare, issue, or store tax-form details or 1099s.
Third-party payment providers may require separate electronic-consent terms and may deliver records, including tax forms, through their own systems.
15. Contact Information and Delivery
Users must maintain accurate and current email addresses, mobile numbers, mailing addresses, authorized contacts, and other Account information.
A communication may be treated as delivered when sent to the contact information in the User's Account, posted in the Platform, made available through a designated link, or otherwise transmitted through an agreed electronic method, subject to applicable law.
LuluCare may rely on the most recent contact information provided by the User.
16. Failed or Delayed Delivery
Electronic communications may be delayed, blocked, filtered, undeliverable, or misdirected because of spam filters, device settings, carrier issues, full inboxes, changed contact information, network outages, or other conditions.
Users must monitor their Account and promptly notify LuluCare of delivery problems. A technical delivery failure does not automatically invalidate a notice when another lawful delivery method was used or the User actually accessed the record.
17. Hardware and Software Requirements
To access and retain electronic records, Users generally need:
- a device capable of accessing the internet;
- a current web browser or supported LuluCare application;
- a valid email account;
- a mobile number when text messaging is used;
- software capable of viewing commonly used electronic documents, such as PDF files;
- sufficient storage or printing capability to retain records.
LuluCare may update technical requirements as the Platform changes. Users should save or print important records for their files.
18. Paper Copies
Users may request a paper copy of an electronically provided record by contacting support@trylulucare.com. LuluCare may charge a reasonable fee where permitted by law and disclosed before processing the request.
Requesting a paper copy does not automatically withdraw consent to electronic records.
19. Withdrawing Consent
A User may withdraw consent to receive legally required records electronically by contacting support@trylulucare.com and following any required verification process.
Withdrawal will apply prospectively and will not affect the validity of electronic records or signatures completed before withdrawal.
Because LuluCare is an electronic marketplace, withdrawal may prevent or limit the User's ability to create or maintain an Account, accept Shifts, receive payouts, post Shifts, approve Timecards, receive invoices, or otherwise use some or all Platform services.
20. Updating Electronic Contact Information
Users may update contact information through Account settings when available or by contacting support.
A User must promptly update contact information after a change. Failure to do so may result in missed Shift, payment, credential, safety, legal, or account notices.
21. Security and Authentication
Users are responsible for protecting passwords, authentication codes, devices, email accounts, mobile numbers, and other access methods.
Users must promptly report suspected unauthorized access or electronic-signature misuse. LuluCare may rely on electronic actions taken through an authenticated Account unless LuluCare has reason to believe the Account was compromised.
22. Electronic Records and Audit Trails
LuluCare may retain electronic records and audit information, including timestamps, IP addresses, device information, authentication events, acceptance records, signature data, document versions, messages, and related system logs.
These records may be used for contract administration, payment, billing, verification, compliance, fraud prevention, dispute resolution, safety, audit, and legal purposes.
23. Changes to Documents
LuluCare may update agreements and policies as permitted by their terms and applicable law. Updated documents may be delivered electronically through email, the Platform, or another reasonable method.
Where affirmative consent is legally required, LuluCare may request a new electronic acceptance before continued use of affected services.
24. No Waiver of Legal Rights
This Consent does not waive any non-waivable right or disclosure requirement under applicable law. If a law requires a specific delivery, signature, retention, consent, or withdrawal process, LuluCare will follow that requirement.
25. Governing Electronic-Transactions Law
This Consent is intended to facilitate electronic transactions under applicable federal and state electronic-signature and electronic-transactions laws, including the federal Electronic Signatures in Global and National Commerce Act and applicable state law.

ACKNOWLEDGMENT
BY CREATING OR USING AN ACCOUNT, SELECTING AN ELECTRONIC ACCEPTANCE, SIGNING OR SUBMITTING A RECORD, OR OTHERWISE INDICATING CONSENT, EACH USER ACKNOWLEDGES THAT THEY HAVE READ AND UNDERSTOOD THIS ELECTRONIC COMMUNICATIONS & E-SIGN CONSENT AND AGREES TO CONDUCT TRANSACTIONS ELECTRONICALLY AS DESCRIBED ABOVE.
